Common use of Validity of Contemplated Transactions Clause in Contracts

Validity of Contemplated Transactions. Neither the execution and delivery of this Agreement and any other agreement, instrument or other document necessary to consummate the transactions contemplated herein by Buyer nor the consummation by Buyer of the transactions provided for herein or therein will conflict with, violate, or result in a breach of or default under any Contract to which Buyer is a party or by which it is bound or any law, permit, license, order, judgment or decree applicable to Buyer or any provision of the charter or bylaws of Buyer.

Validity of Contemplated Transactions. Neither the execution and delivery of this Agreement and any other agreement, instrument or other document necessary to consummate the transactions contemplated herein by Buyer Purchaser nor the consummation by Buyer Purchaser of the transactions provided for herein or therein will conflict with, violate, or result in a breach of or default under any Contract to which Buyer Purchaser is a party or by which it is or its assets are bound or any law, permit, license, order, judgment or decree applicable to Buyer or any provision of the charter or bylaws operating agreement of BuyerPurchaser or any Contract to which Purchaser is a party.

Validity of Contemplated Transactions. Neither the execution The execution, delivery and delivery performance of this Agreement by Purchaser does not and any other agreement, instrument or other document necessary to consummate the transactions contemplated herein by Buyer nor the consummation by Buyer of the transactions provided for herein or therein will conflict with, not violate, conflict with or result in a the breach of any term, condition or default provision of; or require a filing with or the consent of any other person under (a) any Contract existing law, ordinance or governmental rule or regulation to which Buyer Seller is a party subject, or by which it is bound or (b) any law, permit, licensejudgment, order, judgment writ, injunction, decree or decree award of any court, arbitrator or governmental or regulatory official, body or authority which is applicable to Buyer or any provision of the charter or bylaws of BuyerSeller.

Neither the execution and delivery of this Agreement and any other agreement, instrument or other document necessary to consummate by the transactions contemplated herein by Buyer nor the consummation by Buyer of the transactions provided for herein contemplated hereby by the Buyer will contravene or therein will conflict with, violateviolate any Regulation or Court Order which is applicable to the Buyer, or the Certificate of Incorporation or By-Laws of the Buyer, or will result in a breach of or default Default under any Contract to which the Buyer is a party or by which it is bound or any law, permit, license, order, judgment or decree applicable to Buyer or any provision of the charter or bylaws of Buyerotherwise bound.

Validity of Contemplated Transactions. Neither the execution and delivery of this Agreement and any other agreement, instrument or other document necessary to consummate the transactions contemplated herein by Buyer nor the consummation by Buyer of the transactions transaction provided for herein or therein will conflict with, violate, or result in a breach of or default under violate any Contract agreement to which Buyer is a party or by which it is bound bound, or any law, permit, license, order, judgment or decree applicable to Buyer or any provision of the charter Articles of Incorporation or bylaws By-Laws of Buyer.
