Common use of Validity of Common Stock Clause in Contracts

Validity of Common Stock. The Common Shares, when issued and paid for at the Closing, will constitute duly authorized, legally issued shares of Common Stock. The Common Stock underlying the Warrants, when issued in accordance with the terms thereof, will constitute duly authorized, legally and validly issued Common Stock, fully paid and non-assessable.

The Stock included in the Units and the Common Stock underlying issuable upon the Warrantsdue exercise of the Warrant and the due conversion of the Preferred Stock will, when issued in accordance with the terms thereofof this Unit Purchase Agreement and the Warrants and the Preferred Stock, will as the case may be, constitute duly authorized, legally and validly issued shares of Common Stock, fully paid and non-assessable.
