Validity; Binding Nature. This Agreement and all instruments and documents to be delivered by the Buyer hereunder have each been or will be duly executed and delivered by the Buyer, and each now, and thereupon, will constitute the legal, valid and binding obligation or the Buyer, enforceable against the Buyer in accordance with its terms, except as the same may be subject to or limited by bankruptcy, insolvency, reorganization, arrangement, moratorium and other similar laws relating to or affecting the rights of creditors generally and principles or equity.
