Validity and Effect. Any Class Member who returns a timely, valid, and executed Exclusion Form will not participate in or be bound by the Settlement and Judgment and will not receive an Individual Settlement Share. A Class Member who does not complete and mail a timely Exclusion Form will be included in the Settlement, will receive an Individual Settlement Share, and be bound by all terms and conditions of the Settlement, if the Settlement is approved by the Court, and by the Judgment, regardless of whether he or she has objected to the Settlement.
Validity and Effect. This Agreement has been duly authorized, executed and delivered by Investor and, assuming the due authorization, execution and delivery by Seller, this Agreement constitutes the valid, legal and binding obligation of Investor, enforceable in accordance with its terms, except to the extent that enforceability may be limited by bankruptcy, insolvency, moratorium or similar laws affecting the enforcement of creditors' rights generally.

The validity and effect of this Lease shall not be impaired in any way by the failure of Landlord to complete the repair and restoration of the Property or the Building within one hundred eighty (180) days after the occurrence of the casualty, even if Landlord had in good faith notified Tenant that the repair and restoration would be completed within such period, provided that Landlord proceeds diligently with such repair and restoration; provided, however, if the Property or the Building are not restored within two hundred and ten (210) days after the occurrence of the casualty, Tenant shall have the right to terminate this Lease by written notice to Landlord.

The validity and effect of this Sublease shall not be impaired in any way by the failure of Development Entity to complete the repair and restoration of the Property within one hundred eighty (180) days after the occurrence of an Event of Casualty, even if Development Entity had in good faith notified CRA that the repair and restoration would be completed within such period, provided that Development Entity proceeds diligently with such repair and restoration; provided, however, if restoration of the Property or the Premises is not substantially completed within three hundred and sixty five (365) days after the occurrence of the casualty, CRA shall have the right to terminate this Lease by written notice to Development Entity.

Each of the Parties agrees to perform such acts, sign and deliver such other agreements, cause such meetings to be held, resolutions passed and by-laws enacted, exercise their vote and influence as may be necessary or desirable from time to time in order to give full effect to this Agreement.
