The 'Validation Units' clause defines the specific criteria or components that must be met or completed to confirm that a particular process, product, or service meets agreed-upon standards. Validation Units. In the event any change effecting form, fit, function, safety, reliability, or performance of the Product is made at Thermage’s request, Thermage shall pay Stellartech its Standard Rates for effecting such change(s) and Stellartech shall ship to Thermage one or more validation units incorporating such changes. Within 30 days after receipt of such validation unit(s), Thermage shall notify Stellartech of whether it approves or disapproves of the proposed changes. Stellartech shall not implement any proposed change(s) in any additional Products until the end of such 30 day period, or until Thermage provides notice of its approval of such change(s), whichever occurs earlier. At Thermage’s request, Stellartech shall stop all further manufacture of any Products until such approval is given by Thermage.

Within thirty (30) days after receipt of such validation unit(s), Somnus shall notify Apical of whether it approves or disapproves of the proposed changes. Apical shall not make any proposed change(s) until the end of such thirty (30) day period, or until Somnus provides notice of its approval of such change(s), whichever occurs earlier. At Somnus's request, Apical shall stop all further manufacture of Products until such approval is given by Somnus.

In the event any change effecting form, fit, function, safety, reliability, or performance of the Product is made at AtriCure, Inc.’s request, AtriCure, Inc. shall pay Stellartech in accordance with standard “time and materials” rates as provided in Exhibit A for effecting such change(s) and Stellartech shall ship to AtriCure, Inc. one or more validation units incorporating such changes. Within 30 days after receipt of such validation unit(s), AtriCure, Inc. shall notify Stellartech of whether it approves or disapproves of the proposed changes. Stellartech shall not implement any proposed change(s) in any additional Products until the end of such 30 day period, or until AtriCure, Inc. provides notice of its approval of such change(s), whichever occurs earlier.
Validation Units. In the event ITC proposes any change which affecting form, fit, function, safety, reliability or performance of a Product, ITC, at its expense, shall ship Urosurge ten (10) validation units incorporating all such changes. Within ninety (90) days after receipt of such validation unit, Urosurge shall notify ITC whether it approves or disapproves the proposed changes. Failure by Urosurge to advise ITC that it disapproves a proposed change within such ninety (90) days shall constitute Urosurge approval of such proposed changes; provided, however, ITC shall not make the proposed changes until the end of such ninety (90) day period or until Urosurge provides notice of its approval of such changes, whichever occurs earlier.
