Common use of Valid Title Clause in Contracts

Valid Title. Shareholder is the beneficial owner of the Shareholder Shares held by such Shareholder on the date hereof with no restrictions on Shareholder's voting rights or rights of disposition pertaining thereto (except securities law requirements and as herein provided). Except as previously disclosed to Buyer, none of the Shareholder Shares is subject to any voting trust or other agreement or arrangement with respect to the voting of such Shareholder Shares (other than this Agreement).

Valid Title. Shareholder is the sole, true, lawful and beneficial owner of the Shareholder Shareholder's Shares held by such Shareholder on the date hereof with no restrictions on Shareholder's voting rights or rights of disposition pertaining thereto (except securities law requirements and as herein provided). Except as previously disclosed to Buyer, none of the Shareholder Shares is subject to any voting trust or other agreement or arrangement with respect to the voting of such Shareholder Shares (other than this Agreement)thereto.

Valid Title. Shareholder is the beneficial owner of the Shareholder Shares held by such Shareholder him on the date hereof with no restrictions on Shareholder's voting rights or rights of disposition pertaining thereto (thereto, except securities law requirements and as herein provided)may be imposed as a result of any prior pledge or other hypothecation of Shares by the Shareholder. Except as previously disclosed to Buyer, none of the Shareholder Shares is subject to any voting trust or other agreement or arrangement with respect to the voting of such Shareholder Shares (other than this Agreement).

At the Closing, the Shareholder will convey good and valid title to the Shareholder Shares being purchased free and clear of any and all claims, liens, charges, encumbrances and security interests (except securities law requirements and as herein providedcollectively, "Liens"). Except as previously disclosed to Buyer, none None of the Shareholder Shares is subject to any voting trust or other agreement or arrangement with respect to the voting of such Shareholder Shares (other than this Agreement)Shares.

Valid Title. Shareholder is the beneficial legal and record owner of the Shareholder Shares held by such Shareholder on the date hereof with no restrictions on Shareholder's ’s voting rights or rights of disposition pertaining thereto (thereto, except securities law Law requirements and except as herein provided)provided in this Agreement. Except as previously disclosed to Buyer, none None of the Shareholder Shares is are subject to any voting trust or other agreement or arrangement with respect to the voting of such Shareholder Shares (other than this Agreement).

Valid Title. Shareholder is the beneficial owner of the Shareholder Shares held by such Shareholder him on the date hereof with no restrictions on Shareholder's voting rights or rights of disposition pertaining thereto (thereto, except securities law requirements and as herein provided)community property rights of Shareholder's spouse. Except as previously disclosed to Buyer, none of the Shareholder Shares is subject to any voting trust or other agreement or arrangement with respect to the voting of such Shareholder Shares (other than this Agreement).
