When the Interests are issued to the Partners as contemplated by this Agreement and the Capital Contributions requested to be made by the Partners are made, if any, the Interests issued to the Partners will be duly and validly issued and no liability for any additional capital contributions or for any obligations of the Partnership will attach thereto.
