Common use of Valid Issuance of Units Clause in Contracts

Valid Issuance of Units. The Firm Units and the Option Units, if any, and the limited partner interests represented thereby, to be issued and sold by the Partnership to the Underwriters in this Agreement, have been duly authorized and, when issued and delivered to the Underwriters against payment therefor in accordance with this Agreement, will be validly issued, fully paid (to the extent required under the Partnership Agreement) and nonassessable (except as such nonassessability may be affected by Section 17-607 of the Delaware LP Act); the Firm Units and the Option Units, if any, when issued and delivered against payment therefor as provided in this Agreement, will conform to the descriptions thereof contained in the Prospectus.

The Firm Units and the Option Units, if any, and the limited partner interests represented thereby, to be issued and sold by the Partnership to the Underwriters in pursuant to this Agreement, have been duly authorized and, when issued and delivered to the Underwriters against payment therefor in accordance with the terms of this Agreement, will be validly issued, fully paid (to the extent required under the Partnership Agreement) and nonassessable (except as such nonassessability may be affected by Section 17-607 of the Delaware LP Act); the Firm Units and the Option Units, if any, when issued and delivered against payment therefor as provided in accordance with the terms of this Agreement, will conform to the descriptions thereof contained in each of the most recent Preliminary Prospectus and the Prospectus.

The Firm Units to be issued and sold by the Partnership and the Option Units, if any, and the limited partner interests represented thereby, to be issued and sold by the Partnership Selling Unitholder to the Underwriters in this Agreement, hereunder have been duly and validly authorized and, when issued and delivered to the Underwriters against payment therefor in accordance with this Agreement, Agreement will be duly and validly issued, fully paid (to the extent required under the Partnership Agreement) and nonassessable non-assessable (except as such nonassessability may be affected by Section 17-607 of the Delaware LP Act); the Firm Units and the Option Units, if any, when issued and delivered against payment therefor as provided in this Agreement, herein will conform to the descriptions thereof contained in the Prospectus.
