Valid Formation/Authority Clause Samples
Valid Formation/Authority. Each Seller is a limited partnership duly organized and validly existing under the laws of the State of Delaware and is duly qualified to business under the laws of the District of Columbia. Each Seller has the full power, capacity, authority and legal right to execute and deliver this Agreement and to perform its obligations hereunder (including, without limitation, the conveyance of the Property to Buyer). This Agreement is a legal, valid and binding obligation of each Seller. The individuals executing this Agreement and the instruments referenced herein on behalf each Seller have the legal power, right and actual authority to bind each Seller to the terms and conditions hereof and thereof.
