User’s Representations and Warranties. (a) User represents and warrants that it is licensed to conduct business in all jurisdictions where it is necessary for User to be licensed to comply with its obligations under the terms of this Agreement. User further represents and warrants that it will comply with all applicable laws and regulations in its use of the System and any output of the System.
(b) User represents and warrants that it, or another party acting on behalf of User, will provide an adverse action notice to each applicant to whom it determines not to extend credit in accordance with the requirements of ECOA. User further represents and warrants that User will rely upon its own counsel to ensure compliance with ECOA and other applicable laws.
(c) User also represents and warrants that all information that it has provided to Rural Development in the course of registering as a User, and upon which Rural Development has relied in agreeing to permit User to access and use the System, is true and correct.
User’s Representations and Warranties. User represents and warrants to Service Provider that:
(a) it has full power and authority to enter into this Agreement, and has taken all necessary action to authorise the execution and performance of this Agreement;
(b) its obligations under this Agreement are legally valid and binding and are enforceable against it in accordance with their terms;
(c) User's execution and performance of this Agreement does not:
(i) contravene its constituent documents or any law or any obligations or undertakings by which it or any of its assets are bound; or
(ii) exceed any limitation on its, or its directors', powers;
(d) it is not in default under any law affecting it or its assets, or any obligation or undertaking by which it or any of its assets are bound which will, or might reasonably be expected to, materially affect its ability to perform its obligations under this Agreement;
(e) it does not have immunity from the jurisdiction of a court or from legal process which will, or might reasonably be expected to, materially affect its ability to perform its obligations under this Agreement; and
(f) there is no pending or threatened action or proceeding affecting User or any of its assets before a court, referee, Government Agency, commission, arbitrator or other tribunal which will, or might reasonably be expected to, materially affect its ability to perform its obligations under this Agreement.
User’s Representations and Warranties. I represent and warrant that:
(i) By virtue of utilizing any API Products, I consent to and accept any risk associated with Bamboo’s sharing of Personal Information with any API Licensee and shall not hold Bamboo, its Affiliates, or their respective officers, directors, or employees responsible for any Losses resulting from the sharing of such Personal Information.
(ii) I agree that My use of any API Products or API Licensee’s content, information, technology, or functionality is at My own risk.
(iii) I agree that Bamboo may revoke any API Licensee or API Products’ authorization at any time, for any reason, with or without cause and without prior notice to Me.
User’s Representations and Warranties. 1. Any User who enters into the Agreement represents and warrants to Skyeng that the following circumstances are actually present and observed:
1.1. The User is an individual who has full legal capacity and active legal capacity, including having reached the legal age of full active legal capacity, in accordance with the applicable legislation; or
1.2. The User is an emancipated minor, or a minor who has obtained the consent of a legal representative (parent, legal guardian, or trustee) to enter into the Agreement in accordance with applicable law; or
1.3. The User is an individual legal representative (parent, legal guardian or trustee) of the minor and enters into an Agreement on their behalf, having previously granted the minor permission to use the services, the legal representative accepts the terms of the Agreement on behalf of the minor and is responsible for the proper use of the services and compliance with the terms of the Agreement by the minor; and IF YOU HAVE NOT GIVEN YOUR CHILD PERMISSION, PLEASE INFORM SKYENG IMMEDIATELY (SUBJECT TO CLAUSE 17.1 OF THE AGREEMENT) SO THAT SKYENG CAN TERMINATE ACCESS.
1.4. the conclusion and execution of the Agreement by the User does not require the consent or approval of any third parties.
2. Skyeng may at any time to require the User to provide information and documents confirming the above guarantees about the circumstances, and the User shall provide such information and documents within 10 (ten) calendar days from the date of sending the request.

(i) By virtue of utilizing any API Products, I consent to and accept any risk associated with Robinhood’s sharing of Personal Information with any API Licensee and shall not hold Robinhood, its Affiliates, or their respective officers, directors, or employees responsible for any Losses resulting from the sharing of such Personal Information.
(ii) I agree that My use of any API Products or API Licensee’s content, information, technology, or functionality is at My own risk.
(iii) I agree that Robinhood may revoke any API Licensee or API Products’ authorization at any time, for any reason, with or without cause and without prior notice to Me.

(2) The Customer agrees that the use of any API Products or API Licensee’s content, information, technology, or functionality is at the Customer’s own risk.
(3) The Customer agrees that the Broker may revoke any API Licensee or API Products’ authorization at any time, for any reason, with or without cause and without prior notice to the Customer.

(c) User represents and warrants that it will not rely exclusively on the System to determine the amount of escrow associated with loan’s annual fee.

I represent and warrant that: (i) By virtue of utilizing any API Products, I consent to and accept any risk associated with Avenue’s sharing of Personal Information with any API Licensee and shall not hold Avenue, its Affiliates, or their respective officers, directors, or employees responsible for any Losses resulting from the sharing of such Personal Information.
User’s Representations and Warranties. 5.1 The User represents and warrants to Doo Prime, and agree that each such representation and warranty is deemed true as long as the User’s Account remains valid:
(a) the User is an individual of sound mind, full age and legal competence, or if the User is a corporate body, the User warrants that he is legally incorporated and the authorized representative shall have full authority in dealing with the Account;
(b) the User has obtained all corporate, governmental, regulatory and other consents or approvals necessary for the execution, delivery and performance of this Agreement;
(c) the User has full power and lawful authority to execute, deliver and perform this Agreement;
(d) that execution of this Agreement and the Authorized Trading will not violate any Applicable Statutes And Regulations, law, statutes or regulations applicable to the User;
(e) no winding-up petition has been presented, no order of court has been made, no bankruptcy action has been initiated against the User, no resolution has been passed for the winding-up of the User or for the appointment of liquidator or a provisional liquidator of the User;
(f) at all times comply with all Applicable Statutes And Regulations and shall not use the services for Authorized Trading for any unlawful purposes;
(g) the User is willing and financially able to sustain a total loss of all the User’s funds paid to as a result of the Authorized Trading.
User’s Representations and Warranties. (a) Lender represents and warrants that it is licensed to conduct business in all jurisdictions where it is necessary for User to be licensed to comply with its obligations under the terms of this Agreement. Lender further represents and warrants that it will comply with all applicable laws and regulations in its use of the System and any output of the System.
(b) Lender represents and warrants that User, or another party acting on behalf of Lender, will provide an adverse action notice to each applicant to whom it determines not to extend credit in accordance with the requirements of ECOA. Lender further represents and warrants that Lender will rely upon its own counsel to ensure compliance with ECOA and other applicable laws.
(c) Lender also represents and warrants that all information that it has provided to the Agency in the course of registering as a User, and upon which Rural Development has relied in agreeing to permit User to access and use the System, is true and correct.
