User Count. The minimum number of users for the contract period shall be the initial number of users designated in Exhibit A – Order Form. Customer may add additional users at their discretion during the term of the contract; however the minimum number of contracted seats may not be less than the initial number of seats contracted for. The number of contracted users shall be revised at each contract annual renewal date, and shall automatically be adjusted to the then current number of users for the following annual term. Customer may adjust the number of contracted users below the initial number of users with written notice, 30 days prior to the renewal date, to be effective on the first business day for the next contract year.
User Count. The Customer shall ensure that the maximum number of Authorized Users that the Customer authorizes to access and use the Services shall not exceed the number of Licenses it has purchased from time to time. The Customer will not allow any License to be used by more than one individual Authorized User unless it has been reassigned in its entirety to another individual Authorized User, in which case the prior Authorized User will no longer have any right to access or use the Services. Without prejudice to any other right or remedy of CybSafe, in the event the Customer is in breach of this Section then Customer shall be liable to pay for the number of Authorized Users above the Subscription Allocation for the relevant period during which infringement occurred.
User Count. You agree and represent that, at the time of purchase, the quantity of licenses in the Invoice is greater than or equal to the total number of Your employees, contractors, and agents (the “User Count”). Your Affiliate or Affiliates may use the Software You purchase under the ELA only if You have included the total number of such Affiliate’s or Affiliates’ employees, contractors, and agents in the User Count.
User Count. In the event that Customer exceeds its licensed Users (as measured in HB&A’s reporting system), the parties agree to meet in good faith to determine the number of new User seats required by Customer for the remainder of the Service Term.

  • User Accounts End User shall ensure that only Authorized Users can access the Services. User accounts may not be shared among individuals or used to provide access to the Services to individuals who are not the individual associated with the corresponding user account.

The above licenses granted to TM, by You in User Content is irrevocable. 10.4 Further to the foregoing paragraph, by submitting your User Content to us, You warrant that:- (a) your User Content is your own original work or have the necessary license, rights, consents, and permissions to use and authorize us to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all User Content to enable TM to use of the User Content in the manner required by us and that you have the right to make it available to us for all the purposes specified above; (b) your User Content is not defamatory, threatening, injurious, insulting character, offensive, abusive, offensive on moral, menacing, religious or political grounds, impair your confidentiality obligations; (c) your User Content does not infringe the law; (d) You shall be solely responsible for your own User Content and the consequences of posting or publishing them; (e) You will not submit material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post material and to grant us all of the license rights granted herein; and/or (f) waive any moral rights in your User Content for the purposes of its submission to and publication in TM Website and the purposes specified above. 10.5 You understand that whether or not such User Content is posted, TM does not guarantee any confidentiality with respect to any User Content. TM does not endorse any User Content or any opinion, recommendation, or advice expressed therein, and expressly disclaims any and all liability in connection with User Content. We do not permit activities which will infringe any Intellectual Property Rights including copyright and we will remove all infringing contents and User Content upon notification that such Content or User Content infringes on another’s Intellectual Property Rights. We further reserve the right to remove any Content or User Content without prior notice. 10.6 You understand and agree that we may review and delete any User Content that you posted at any time without notice, without liability and for any reason whatsoever, especially if you breach the terms and conditions herein. 10.7 We reserve the right to investigate and take appropriate legal action, in our sole discretion, against You for the User Content especially if it violates TM policy and report you to the Appropriate Authority.

  • User Access Transfer Agent shall have a process to promptly disable access to Fund Data by any Transfer Agent personnel who no longer requires such access. Transfer Agent will also promptly remove access of Fund personnel upon receipt of notification from Fund.

  • Third Party Access Client is prohibited from disclosing data from the Data Set to any third party without obtaining written permission from Oracle.
