User Agreements. In order to receive certain LDC Databases, Member shall restrict use of these Databases to only those of its employees or consultants within its control who, in advance of gaining access to the specified Databases, have signed any necessary separate user agreements. The specific Databases for which such user agreements are required will be indicated by LDC and the terms and provisions of any such User Agreements supersede the terms of the Membership Agreement. Member may elect not to receive LDC Databases for which separate user agreements are required. Member shall maintain all signed user agreements on file for inspection by LDC upon its request and shall terminate access to the specified LDC Databases to individuals for whom the conditions contained in the user agreement no longer apply. To the extent that any of Member's consultants gain access to any LDC Databases, Member shall be responsible and liable for the actions and omissions of those consultants as though they were the actions of Member.
User Agreements. Distributor shall require that each User enter into an agreement that contains the provisions set forth in Exhibit D or provisions substantially equivalent thereto. Such agreement, which may be obtained in an electronic or hard-copy format, shall be retained by Distributor for the term of this Agreement and three (3) years thereafter. Upon the request of COMTEX, Distributor shall provide COMTEX a copy of such user agreement.
User Agreements. The City is hereby authorized to enter into agreements with users of all or any portion of the Dispatch Services, with the charges for such services being established by the 9-1-1 Advisory Board as described in Section 3 of this Agreement. The Parties acknowledge that the funding solution reflected in Exhibit 1 is based on user fees being implemented for such users beginning in 2025.
User Agreements. Licensee shall enter into a valid and binding end user license agreement with all users of Licensee’s application that uses API (the “XXXX”) that contain provisions that contain all of the restrictions on the use of the Content as those contained in this Agreement. Additionally, such XXXX shall contain limitations of liability and warranty disclaimers with respect to the API consistent with the limitations contained herein.
User Agreements. Each Party will ensure that each of its Users is legally obligated to, at a minimum: (i) comply with all applicable law; (ii) send Direct Messages only for the Permitted Purposes as defined below; and (iii) refrain from disclosing to any other person any credentials, passwords or other security measures issued to the User by the Party.
User Agreements. Part 2.10(f) of the Disclosure Schedule contains each Acquired Company User Agreement in effect at any time and identifies, with respect to each Acquired Company User Agreement, the period of time during which such Acquired Company User Agreement was or has been in effect. Each Acquired Company User Agreement: (i) is binding and enforceable with respect to each and every user of each Acquired Company Web Site and Acquired Company Software, (ii) is fully assignable by the Acquired Company, and (iii) includes an indemnity from the user for any content linked or provided by the user.
User Agreements. The Franchisee shall not attempt to register itself as a user of any of the Burger King Marks except in connection with an application filed by BKC. Registered User Agreement shall not be construed as giving the Sublicense right to transfer or the Franchisees right to use the Burger King Marks without the prior written consent of BKC and the FRANCHISOR,
User Agreements. Distributor shall require that each Business Partner enter into an agreement prior to utilizing Content or Trademarks. Such agreements are to be approved by the Provider twenty (20) days in advance of utilizing Content or Trademarks.
User Agreements. The IMC shall include provisions in any agreements with Users that provide equivalent indemnity rights and responsibilities for such Users as those provided for and required of Participants in this Article provided, however, that this Section may not apply to AEA or other state entities.
User Agreements. A wireless certificate will not be installed until the student has fully completed the required User Agreements attached to this document.
