Common use of Use of the Names of the Fund Clause in Contracts

Use of the Names of the Fund. The Trust acknowledges that Securian Asset Management, Inc. (the “Sub-advisor”), the sub-advisor to the Fund pursuant to the Sub-Advisory Agreement between the Advisor and the Sub-advisor dated as of [ ], has consented to the use by each Fund of the name or identifying word “Securian” in the name of the Fund; (b) such consent is conditioned upon the employment of the Sub-advisor or a successor or affiliate thereof as the investment sub-advisor to the Fund, and may not be revoked by the Sub-advisor for so long as the Sub-advisor or a successor thereto or affiliate thereof serves as investment sub-advisor to the Fund; and (c) the Advisor may require any Fund to cease using “Securian” in the name of the Fund and in connection with the Fund’s operations if (i) the Fund ceases to employ, for any reason, the Advisor, any successor thereto or any affiliate thereof as investment advisor, or (ii) the Advisor in accordance with 2(b)(iv) of this Agreement were to terminate and replace the Sub-advisor or a successor thereto or affiliate thereof as sub-advisor to the Fund.

Use of the Names of the Fund. The Trust acknowledges that Securian Asset Management(a) TOROSO Investments, Inc. LLC (“TOROSO”) and Newfound Research, LLC (“Newfound” and together with TOROSO, the “Sub-advisoradvisors”), the sub-advisor to the Fund pursuant to the Sub-Advisory Agreement between the Advisor and the Sub-advisor dated as of [ ], has ) have consented to the use by each the TOROSO Newfound Tactical Allocation Fund of the name or identifying word words “SecurianToroso” and “Newfound,” respectively, in the name of the Fund; (b) such consent is conditioned upon the employment of the respective Sub-advisor or a successor or affiliate thereof as the an investment sub-advisor to the Fund, and may not be revoked by the such Sub-advisor for so long as the Sub-advisor or a successor thereto or affiliate thereof serves as investment sub-advisor to the Fund; and (c) the Advisor may require any the Fund to cease using “SecurianToroso” or “Newfound” in the name of the Fund and in connection with the Fund’s operations if (i) the Fund ceases to employ, for any reason, the Advisor, any successor thereto or any affiliate thereof as investment advisor, or (ii) the Advisor in accordance with 2(b)(iv) of this Agreement were to terminate and replace terminates the respective Sub-advisor or a successor thereto or affiliate thereof as sub-advisor to the Fund.

Use of the Names of the Fund. The Trust acknowledges that Securian Asset Management(a) Capital Innovations, Inc. LLC (the “Sub-advisor”), the sub-advisor to the Fund pursuant to the Sub-Advisory Agreement between the Advisor and the Sub-advisor dated as of [ ]___________________, has consented to the use by each Fund of the name or identifying word words “SecurianCapital Innovations” in the name of the Fund; (b) such consent is conditioned upon the employment of the Sub-advisor or a successor or affiliate thereof as the investment sub-advisor to the Fund, and may not be revoked by the Sub-advisor for so long as the Sub-advisor or a successor thereto or affiliate thereof thereof, serves as investment sub-advisor to the FundFund ; and (c) the Advisor may require any Fund to cease using “SecurianCapital Innovations” in the name of the Fund and in connection with the Fund’s operations if (i) the Fund ceases to employ, for any reason, the Advisor, any successor thereto or any affiliate thereof as investment advisor, or (ii) the Advisor in accordance with 2(b)(iv) of this Agreement were to terminate and replace the Sub-advisor or a successor thereto or affiliate thereof as sub-advisor to the Fund.

(a) Xxxxxxxx Financial LLC (the “Sub-advisorAdvisor”), the sub-advisor to the Fund pursuant to the Sub-Advisory Agreement between the Advisor and the Sub-advisor Advisor dated as of [ ]December 31, 2015, has consented to the use by each Fund of the name or identifying word “SecurianXxxxxxxx” in the name of the Fund; (b) such consent is conditioned upon the employment of the Sub-advisor Advisor or a successor or affiliate thereof there as the investment sub-advisor to the Fund, and may not be revoked by the Sub-advisor Advisor for so long as the Sub-advisor Advisor or a successor thereto or affiliate thereof serves as investment sub-advisor to the Fund; and (c) the Advisor may require any Fund to cease using “SecurianXxxxxxxx” in the name of the Fund and in connection with the Fund’s operations if (i) the Fund ceases to employ, for any reason, the Advisor, any successor thereto or any affiliate thereof as investment advisor, or (ii) the Advisor in accordance with 2(b)(iv) of this Agreement were to terminate and replace the Sub-advisor Advisor or a successor thereto or affiliate thereof as sub-advisor to the Fund.

(a) Bxxxxxxx Financial Corporation (the “Sub-advisorAdvisor”), the sub-advisor to the Fund pursuant to the Sub-Advisory Agreement between the Advisor and the Sub-advisor Advisor dated as of [ ]___________, has consented to the use by each Fund of the name or identifying word “SecurianBxxxxxxx” in the name of the Fund; (b) such consent is conditioned upon the employment of the Sub-advisor Advisor or a successor or affiliate thereof there as the investment sub-advisor to the Fund, and any may not be revoked by the Sub-advisor Advisor for so long as the Sub-advisor Advisor or a successor thereto or affiliate thereof serves as investment sub-advisor to the Fund; and (c) the Advisor may require any Fund to cease using “SecurianBxxxxxxx” in the name of the Fund and in connection with the Fund’s operations if (i) the Fund ceases to employ, for any reason, the Advisor, any successor thereto or any affiliate thereof as investment advisor, or (ii) the Advisor in accordance with 2(b)(iv) of this Agreement were to terminate and replace the Sub-advisor Advisor or a successor thereto or affiliate thereof as sub-advisor to the Fund.

LLC (the “Sub-advisorAdvisor”), the sub-advisor to the Fund pursuant to the Sub-Advisory Agreement between the Advisor and the Sub-advisor Advisor dated as of [ ]December 31, 2015, has consented to the use by each Fund of the name or identifying word “SecurianXxxxxxxx” in the name of the Fund; (b) such consent is conditioned upon the employment of the Sub-advisor Advisor or a successor or affiliate thereof there as the investment sub-advisor to the Fund, and may not be revoked by the Sub-advisor Advisor for so long as the Sub-advisor Advisor or a successor thereto or affiliate thereof serves as investment sub-advisor to the Fund; and (c) the Advisor may require any Fund to cease using “SecurianXxxxxxxx” in the name of the Fund and in connection with the Fund’s operations if (i) the Fund ceases to employ, for any reason, the Advisor, any successor thereto or any affiliate thereof as investment advisor, or (ii) the Advisor in accordance with 2(b)(iv) of this Agreement were to terminate and replace the Sub-advisor Advisor or a successor thereto or affiliate thereof as sub-advisor to the Fund.

Use of the Names of the Fund. The Trust acknowledges that Securian Asset Management, Inc. Gramercy Funds Management LLC. (the “Sub-advisor”), the sub-advisor to the Fund pursuant to the Sub-Advisory Agreement between the Advisor and the Sub-advisor dated as of [ ], has consented to the use by each Fund of the name or identifying word “SecurianGramercy” in the name of the Fund; (b) such consent is conditioned upon the employment of the Sub-advisor or a successor or affiliate thereof as the investment sub-advisor to the Fund, and may not be revoked by the Sub-advisor for so long as the Sub-advisor or a successor thereto or affiliate thereof serves as investment sub-advisor to the Fund; and (c) the Advisor may require any Fund to cease using “SecurianGramercy” in the name of the Fund and in connection with the Fund’s operations if (i) the Fund ceases to employ, for any reason, the Advisor, any successor thereto or any affiliate thereof as investment advisor, or (ii) the Advisor in accordance with 2(b)(iv) of this Agreement were to terminate and replace the Sub-advisor or a successor thereto or affiliate thereof as sub-advisor to the Fund.

LLC (the “Sub-advisor”), the sub-advisor to the Fund pursuant to the Sub-Advisory Agreement between the Advisor and the Sub-advisor dated as of [ ]December 31, 2013, has consented to the use by each Fund of the name or identifying word “SecurianCxxxxxx” in the name of the Fund; (b) such consent is conditioned upon the employment of the Sub-advisor or a successor or affiliate thereof as the investment sub-advisor to the Fund, and may not be revoked by the Sub-advisor for so long as the Sub-advisor or a successor thereto or affiliate thereof serves as investment sub-advisor to the Fund; and (c) the Advisor may require any Fund to cease using “SecurianCxxxxxx” in the name of the Fund and in connection with the Fund’s operations if (i) the Fund ceases to employ, for any reason, the Advisor, any successor thereto or any affiliate thereof as investment advisor, or (ii) the Advisor in accordance with 2(b)(iv) of this Agreement were to terminate and replace the Sub-advisor or a successor thereto or affiliate thereof as sub-advisor to the Fund.

LLC (the “Sub-advisor”), the sub-advisor to the Fund pursuant to the Sub-Advisory Agreement between the Advisor and the Sub-advisor dated as of [ ]December 31, 2013, has consented to the use by each Fund of the name or identifying word “SecurianXxxxxxx” in the name of the Fund; (b) such consent is conditioned upon the employment of the Sub-advisor or a successor or affiliate thereof as the investment sub-advisor to the Fund, and may not be revoked by the Sub-advisor for so long as the Sub-advisor or a successor thereto or affiliate thereof serves as investment sub-advisor to the Fund; and (c) the Advisor may require any Fund to cease using “SecurianXxxxxxx” in the name of the Fund and in connection with the Fund’s operations if (i) the Fund ceases to employ, for any reason, the Advisor, any successor thereto or any affiliate thereof as investment advisor, or (ii) the Advisor in accordance with 2(b)(iv) of this Agreement were to terminate and replace the Sub-advisor or a successor thereto or affiliate thereof as sub-advisor to the Fund.

LLC (the “Sub-advisor”), the sub-advisor to the Fund pursuant to the Sub-Advisory Agreement between the Advisor and the Sub-advisor dated as of [ ]September 30, 2014, has consented to the use by of each Fund of the name or identifying word “SecurianRxxxxxxx” in the name of the Fund; (b) such consent is conditioned upon the employment of the Sub-advisor or a successor or affiliate thereof as the investment sub-advisor to the Fund, and may not be revoked by the Sub-advisor for so long as the Sub-advisor or a successor thereto or affiliate thereof serves as investment sub-advisor to the Fund; and (c) the Advisor may require any Fund to cease using “SecurianRxxxxxxx” in the name of the Fund and in connection with the Fund’s operations if (i) the Fund ceases to employ, for any reason, the Advisor, any successor thereto or any affiliate thereof as investment advisor, or (ii) the Advisor in accordance with 2(b)(iv) of this Agreement were to terminate and replace the Sub-advisor or a successor thereto or affiliate thereof as sub-advisor to the Fund.
