USE AUDIT Sample Clauses

The USE AUDIT clause grants a party the right to review and examine records, systems, or processes to ensure compliance with contractual obligations. USE AUDIT. Ixia shall have the right, upon reasonable notice, to conduct and/or have an independent accounting firm conduct, during normal business hours on Licensee’s premises under Licensee’s reasonable supervision, an audit to verify Licensee’s compliance with the terms of this Agreement, the Third Party Licenses and the Open Source Licenses.
USE AUDIT. Keysight shall have the right, upon reasonable notice, to conduct and/or have an independent accounting firm conduct, during normal business hours on Licensee’s premises under Licensee’s reasonable supervision, an audit to verify Licensee’s compliance with the terms of this Agreement, the Third Party Licenses and the Open Source Licenses.
USE AUDIT. Licensor may, upon fifteen (15) days’ advance notice and at its expense, conduct an audit, during Licensee’s normal business hours, of Licensee’s use of the Application and Documentation to verify compliance with this Contract. Licensee shall provide Licensor or an authorized representative with access to records, hardware and employees in order to perform the audit.
