Usage Logs. Licensee shall provide AspenTech with an original, unmodified, electronic copy of the Usage Logs for each SLM Server for each Measurement Period, commencing with the fourth full calendar month of the License Term. The Usage Logs shall be delivered to the Aspen Licensing Center™ (“ALC”) within 30 days of the end of each Measurement Period. AspenTech may suspend performance of SMS if Usage Logs are not timely delivered. Upon request, AspenTech shall grant access to the ALC to a designated Licensee representative for the purpose of viewing Licensee usage reports. Licensee shall deploy the version of the SLM Server and SLM client software required by AspenTech, activate the Usage Log generator in accordance with documentation to be provided by AspenTech, and configure each SLM Server to deliver Usage Logs to the ALC using an auto upload or other tool approved by AspenTech. Licensee may add SLM Servers upon written notice to the AspenTech administrative coordinator, subject to any specified license restrictions. Usage Logs. In conjunction with an audit or any claim arising out of Section 8.2, Subscriber agrees to provide Anaconda access to usage logs of the Licensed Software upon request. Anaconda will give Subscriber written notice of any non-compliance revealed in its examination of such logs, including any use of the Licensed Software beyond that authorized under this Agreement and, without limiting Anaconda’s remedies arising from such unauthorized use, Subscriber shall promptly: (i) remedy such unauthorized use and (ii) pay Anaconda any additional fees due, at the then current rates Subscriber is paying to Anaconda. Anaconda agrees that any audit or access to Subscriber’s premises will be in a manner that minimizes interference with Subscriber’s business operations

  • Usage Statistics The Distributor shall ensure that the Publisher will provide access to both composite system-wide use data and itemized data for the Licensee, the Participating Institutions, individual campuses and labs, on a monthly basis. The statistics shall meet or exceed the most recent project Counting Online Usage of NeTworked Electronic Resources ("COUNTER") Code of Practice Release,3 including but not limited to its provisions on customer confidentiality. When a release of a new COUNTER Code of Practice is issued, the Distributor shall ensure that the Publisher will comply with the implementation time frame specified by COUNTER to provide usage statistics in the new standard format. It is more than desirable that the Standardized Usage Statistics Harvesting Initiative (SUSHI) Protocol4 is available for the Licensee to harvest the statistics.

  • USE OF RECYCLED OR REMANUFACTURED MATERIALS New York State supports and encourages contractors to use recycled, remanufactured or recovered materials in the manufacture of products and packaging to the maximum extent practicable without jeopardizing the performance or intended end use of the product or packaging unless such use is precluded due to health or safety requirements or product specifications contained herein. Refurbished or remanufactured components or products are required to be restored to original performance and regulatory standards and functions and are required to meet all other requirements of this bid solicitation. Warranties on refurbished or remanufactured components or products must be identical to the manufacturer's new equipment warranty or industry's normal warranty when remanufacturer does not offer new equipment. See "Remanufactured, Recycled, Recyclable or Recovered Materials" in Appendix B, OGS General Specifications.

  • Product Information EPIZYME recognizes that by reason of, inter alia, EISAI’s status as an exclusive licensee in the EISAI Territory under this Agreement, EISAI has an interest in EPIZYME’s retention in confidence of certain information of EPIZYME. Accordingly, until the end of all Royalty Term(s) in the EISAI Territory, EPIZYME shall keep confidential, and not publish or otherwise disclose, and not use for any purpose other than to fulfill EPIZYME’s obligations, or exercise EPIZYME’s rights, hereunder any EPIZYME Know-How Controlled by EPIZYME or EPIZYME Collaboration Know-How, in each case that are primarily applicable to EZH2 or EZH2 Compounds (the “Product Information”), except to the extent (a) the Product Information is in the public domain through no fault of EPIZYME, (b) such disclosure or use is expressly permitted under Section 9.3, or (c) such disclosure or use is otherwise expressly permitted by the terms and conditions of this Agreement. For purposes of Section 9.3, each Party shall be deemed to be both the Disclosing Party and the Receiving Party with respect to Product Information.   • Customer Content As part of the Services provided under this Agreement, Customer Data will be stored and processed in the data center region specified in the applicable Ordering Document. Axway shall not access Customer Content except in response to support or technical issues where Customer provides Axway with prior Customer’s written authorization required to access such Customer Content. Axway is not responsible for unauthorized access, alteration, theft or destruction of Customer Content arising from Customer’s own or its authorized users’ actions or omissions in contravention of the Documentation. Customer’s ability to recover any lost data resulting from Axway’s misconduct is limited to restoration by Axway from the most recent back-up.
