U.S. GAAP Reporting. During the Pre-Closing Period, the Company shall prepare and deliver to the Acquirer, on a monthly basis, within ten (10) Business Days after the end of each calendar month: (a) unaudited balance sheet as of the end of such month; (b) unaudited statements of operations and cash flows for such month; and (c) a comparison of such financial statements to the corresponding figures for the same month in the previous fiscal year and to the Company’s operating budget for such month. All such financial statements shall be prepared in accordance with U.S. GAAP, applied on a consistent basis throughout the periods presented. The Company shall also provide such additional financial information as the Acquirer may reasonably request from time to time.
