Upon Company's Dissolution. If a Member's disassociation results in the Company's dissolution under section 9.02, the Member shall be entitled to participate in the Company's winding up to the same extent as any other Member. However, the Company shall have the right to offset against any distribution attributable to the Member's Unit all amounts the Member owes to the Company, including any costs or damages resulting from the Member's breach of this Agreement.
