Updated Financial Plan. On and as of the Effective Date, the Updated Financial Plan is based on good faith estimates and assumptions made by the management of the Parent; provided, the Updated Financial Plan is not to be viewed as a fact and actual results during the period or periods covered by the Updated Financial Plan may differ from such Updated Financial Plan and the differences may be material; provided further, as of the Effective Date, management of the Parent believed that the good faith estimates and assumptions in the Updated Financial Plan were overall reasonable and attainable.
