Untransferrable Appointments. If BNY is unable to accept the transfer of any Appointment to be transferred to it hereunder because of the provisions of Applicable Law or restrictions or qualification requirements contained in any Corporate Trust Agreement or otherwise, to the extent permitted by Applicable Law, such Appointment will be acquired by an Affiliate of BNY and such Affiliate shall, for the purposes of such Appointment, be deemed to be subject to the terms of this Agreement (including making all of the representations and warranties of BNY set forth herein).
