Universal Data Processing Exhibit Clause Samples

Universal Data Processing Exhibit. (i) If the MSA is already subject to the Universal Data Processing Exhibit (“Data Processing Exhibit” or “DPE”) then that DPE will continue to apply, except that the term “Covered Service” (as defined in the DPE) will mean (i) any Service provided under the MSA as amended by this Universal MSA Amendment, and/or (ii) any Professional Services. (ii) If the MSA is not already subject to the DPE, then the DPE currently located at ▇▇▇▇▇://▇▇▇.▇▇▇▇▇▇▇.▇▇▇/en-us/legal/universal-contract-terms-and-conditions/index.htm (the “DPE”) will supersede and replace all existing terms in the MSA or separate addenda, exhibit or amendment governing Workday’s processing of personal data as a data processor on behalf of Customer, including but not limited to any references in the Customer's Agreement to a Data Processing Exhibit or Data Processing Agreement. All references in the Agreement (including in an Order Form) to a Data Processing Exhibit, Data Processing Agreement, or similar terms, will be deemed to be references to the Data Processing Exhibit. The DPE may be updated by Workday from time to time to comply with applicable Data Protection Laws applicable to Workday as a Data Processor. No update will materially decrease Workday’s Data Processor obligations under the DPE.
