Union Plan. As of the Effective Date, the Company shall continue ---------- to sponsor and maintain the Precision Scientific Instruments and Precision Scientific Petroleum Instruments Defined Benefit Pension Plan (the "Union Plan"). The Seller shall make all contributions to the Union Plan that are required to be made (whether by applicable law or by the terms of the Plan) prior to the Effective Date, and the Seller shall be liable for no further contributions to the Union Plan after such payments have been made. As soon as practical after the Effective Date, but no more than 60 days thereafter, the Buyer shall direct the Seller and the Seller shall transfer all Union Plan assets and liabilities from the Varlen Corporation Defined Benefit Master Trust ("Varlen Master Trust") to an employee benefit trust to be established and maintained by the Company. If there is any delay in the transfer of Union Plan assets and liabilities beyond the 60-day period referred to above that is caused by Buyer or its agents and administrators with respect to the transfer of Union Plan assets from the Varlen Master Trust, Buyer shall reimburse Seller for all costs and expenses associated with the Company's delayed withdrawal from the Varlen Master Trust. If any dispute arises between the Seller and the Buyer concerning the amount or nature of the Varlen Master Trust assets which are attributable to the Union Plan, the matter shall be resolved by a public accounting firm mutually selected by the Seller and Buyer.
Union Plan. SNFCo shall assume Scout's obligations and liabilities ---------- under collective bargaining agreements: (a) between Scout and the Service Employees International Union dated November 6, 1995, (b) between Scout and the Service Employees International Union, Local 150, AFL-CIO-CLC, dated November 1, 1995, (c) between Scout and the Healthcare Workers' Union, Xxxxx 000, XXXX, XXX- CIO, dated October 1, 1994 and (d) between Scout and the Nursing and Convalensecent Home Employees Division of Xxxxx 00, XXXX, XXX-XXX, dated May 1, 1995, including Scout's obligation to contribute to the SEIU National Industry Pension Fund (the "Union Plan"). SNFCo shall assume and discharge any liability pursuant to ERISA Section 4203 and 4205 with respect to the Union Plan which may arise by reason of the Distribution (as defined in the Distribution Agreement).

  • Benefit Plan If an employee maintains coverage for benefit plans while on maternity or parental leave, the Employer agrees to pay the Employer's share of these premiums.

  • Compensation Plan The Compensation Plan adopted by the City Council shall provide for salary schedules, rates, ranges, steps and any other special circumstances or items related to the total compensation paid employees. Each position within the classified services shall be allocated to its appropriate class in the classification plan on the basis of duties and responsibilities. Each class shall be assigned a salary range or a rate established in the salary plan. All persons entering the classified service shall be compensated in accordance with the salary plan then in effect.

  • International Employee Plans Each International Employee Plan has been established, maintained and administered in compliance in all material respects with its terms and conditions and with the requirements prescribed by any applicable laws. Furthermore, no International Employee Plan has material unfunded liabilities that as of the Effective Time will not be offset by insurance or fully accrued. Except as required by applicable law, no condition exists that would prevent the Company or any of its Subsidiaries from terminating or amending any International Employee Plan at any time for any reason without material liability to the Company or its Subsidiaries (other than ordinary notice and administration requirements and expenses or routine claims for benefits).

  • Equity Plan In the event the Company adopts an equity incentive plan or program (the "Equity Plan") for its key executives, the Executive shall be entitled to participate in the Equity Plan from and after the effective date thereof in accordance with the terms and conditions of such plan.

  • Option Plan This Option is subject to certain additional terms and ----------- conditions set forth in the Plan pursuant to which this Option has been issued. Optionee acknowledges receipt of a copy of the Plan on file with the Secretary of the Company and, by acceptance hereof, agrees to and accepts this Option subject to the terms of the Plan.
