Ungranted Interests. No employee of TopCo or any other Person, has an offer letter or other Contract that contemplates or commits to making a grant of any equity interests or any other security of TopCo, or has otherwise been promised any option to purchase any equity interests or any other security of TopCo, which option has not been granted, or security has not been issued.
