UNFINISHED SOFTWARE Clause Samples

The "Unfinished Software" clause defines the rights and obligations of the parties regarding software that is not yet complete at the time of delivery or during the development process. Typically, this clause clarifies whether the client may use, test, or review the unfinished software, and may set out the developer's responsibilities for completing, updating, or correcting the software before final acceptance. Its core practical function is to manage expectations and responsibilities during the software development lifecycle, reducing disputes over incomplete deliverables and ensuring both parties understand the status and permitted uses of unfinished work.
UNFINISHED SOFTWARE. DuPont and Rosetta acknowledge and agree that the Initial Feature Release, Second Feature Release, and Feature-Complete Release versions of the Resolver Software will likely contain bugs, defects, and errors, and that the Software is not expected by either DuPont or Rosetta to function error-free upon installation. DuPont and Rosetta further acknowledge and agree that the Resolver-TM- Software is being provided to DuPont on an early access basis to provide Rosetta with feedback to evaluate and improve its Resolver-TM- System.
