Common use of Underwriters Counsel Opinion Clause in Contracts

Underwriters Counsel Opinion. The Underwriter shall have received from Xxxxxx & Xxxxxx L.L.P., counsel for the Underwriter, such opinion or opinions, dated such Delivery Date, with respect to the issuance and sale of the Units, the Registration Statement, the Prospectus and the Pricing Disclosure Package and other related matters as the Underwriter may reasonably require, and the Partnership shall have furnished to such counsel such documents as it reasonably requests for the purpose of enabling it to pass upon such matters.

Underwriters Counsel Opinion. The Underwriter Underwriters shall have received from Xxxxxx & Xxxxxx L.L.P., counsel for the UnderwriterUnderwriters, such opinion or opinions, dated such Delivery Date, with respect to the issuance and sale of the Units, the Registration Statement, the Prospectus and the Pricing Disclosure Package and the Prospectus and other related matters as the Underwriter Underwriters may reasonably require, and the Partnership shall have furnished to such counsel such documents as it they reasonably requests request for the purpose of enabling it them to pass upon such matters.

The Underwriter Underwriters shall have received from Xxxxxx & Xxxxxx L.L.P., counsel for the UnderwriterUnderwriters, such opinion or opinions, dated such Delivery Datethe Time of Delivery, and addressed to the Representatives, with respect to the issuance and sale of the UnitsNotes, the Registration Statement, the Disclosure Package, the Prospectus and the Pricing Disclosure Package (together with any supplement thereto) and other related matters as the Underwriter Representatives may reasonably require, and the Partnership shall have furnished to such counsel such documents as it reasonably requests they request for the purpose of enabling it them to pass upon such matters.
