Common use of Understanding of Covenants Clause in Contracts

Understanding of Covenants. (a)Executive acknowledges that, in the course of his or her employment with the Company and/or its Affiliates and their predecessors, he has become familiar, or will become familiar, with Confidential Information of the Company’s and its Affiliates’ and their predecessors. Executive recognizes that such Confidential Information would not be provided to Executive by the Company in the absence of this signed Agreement because of the risks that valuable Confidential Information might otherwise be divulged and thereby damage the Company's competitive position in the marketplace, damage the Company's relationship with Company Business Relationships, or otherwise cause damage to Company Business Relationships. Executive agrees that the foregoing covenants set forth in Sections 9, 10, 11, and this Section 12 (together, the “Restrictive Covenants”) are reasonable and necessary to protect the Company’s and its Affiliates’ trade secrets and other confidential and proprietary information, good will, stable workforce, and customer relations including, without limitation, any Confidential Information.
