Uncooperative Behavior Sample Clauses

The "Uncooperative behavior" clause defines the expectations for parties to act in good faith and cooperate during the execution of an agreement. It typically outlines what constitutes uncooperative actions, such as refusing to provide necessary information, failing to respond to reasonable requests, or deliberately hindering progress. This clause serves to discourage obstructive conduct and provides a basis for addressing or remedying such behavior, thereby ensuring smoother collaboration and reducing the risk of disputes or project delays.

Uncooperative Behavior. Uncooperative behavior refers to any infraction to the rules listed in the “Full Cooperation” Section. Uncooperative behavior from the Talent will limit our ability to promote the Talent and fulfill the “Guarantee” (for definition of “Guarantee” see the section on Compensation below). Fines will be imposed as explicitly outlined above. Talent will be notified within 2 days of infraction. Agency will also be notified immediately. Fines will be deducted from Talent’s Net Income at end of Contract period. If Talent is consistently uncooperative (depends on severity, but generally meaning 3 or more instances), the Agency reserve the right to terminate the Contract and cancel the guarantee. If Guarantee is already met, money owed to Talent will be calculated as outlined below. If Talent is unable to work due to sickness or negative appearance (e.g. figure, skin, etc) for over 5 days a month, Agency will have the right to terminate the Contract and cancel the guarantee. Talent will owe Agency for unpaid expenses. Since these factors are, to some extent, beyond the Talents control, no fines will be imposed.
