Common use of Uncertainty Clause in Contracts

Uncertainty. If it is uncertain as to whether: (a) any information is Confidential Information; or (b) any Confidential Information is publicly available, that information will be taken to be Confidential Information and not generally available to the public unless the disclosing party advises the recipient party in writing to the contrary or a court declares it to be publicly available.
