Unauthorized Holdover. In the event that Tenant (or any subtenant or --------------------- other person occupying all or part of the Premises) fails to quit the Premises immediately upon the effective date of termination of the Lease, Tenant hereby covenants to save and hold Landlord harmless against all direct or consequential damages, costs or losses suffered by Landlord arising out of such failure to quit, including without limitation, all costs associated with Landlord's regaining of possession of the Premises, all costs, liability or loss of rents arising out of Landlord's inability or delay in commencing renovations or delivering the Premises to a new tenant, and Landlord's reasonable attorney's fees arising out of such failure to quit or in enforcing this indemnity provision.
