Common use of Unadjusted Taxes Clause in Contracts

Unadjusted Taxes. The Corporation and New D&B shall each be liable for and shall pay one-half of all Unadjusted Taxes (or receive one-half of such refunds) of the Pre-Distribution D&B Group attributable to the Pre-Distribution Tax Period to the extent such Unadjusted Taxes become due and payable (or, in the case of refunds, are received) after the Distribution Date. The amount of Unadjusted Taxes payable by the Corporation and New D&B pursuant to this Section 3.2 (a)(i) shall be reduced by the amount of any estimated Taxes paid by the Pre-Distribution D&B Group (or any member thereof) prior to the Distribution Date. If the amount of any such estimated Taxes exceeds the amount of Unadjusted Taxes payable pursuant to this Section 3.2(a)(i), then the Party benefitting from such excess shall pay the other Party half of the amount of such excess.
