Common use of Ultimate Authority Clause in Contracts

Ultimate Authority. Notwithstanding any other provision of this Agreement, the Ceding Company shall retain the ultimate authority to make all final decisions with respect to the administration of the Reinsured Policies and the NICO Reinsurance Agreement; provided, that nothing in this Section 2.05 is intended to relieve the Ceding Company for any liability for any breach of the terms and conditions of this Agreement resulting from exercise of such ultimate authority.

Ultimate Authority. Notwithstanding any other provision of contained in this AgreementAgreement to the contrary, the Ceding Company Companies shall (a) retain the ultimate authority to make all final decisions with respect to the administration of the Reinsured Policies, and (b) have the right to direct the Reinsurer in its capacity as Administrator to perform any action necessary for the Reinsured Policies and the NICO Reinsurance Agreement; providedto comply with applicable Law, or to cease performing any action that nothing in this Section 2.05 is intended to relieve the Ceding Company for any liability for any breach constitutes a violation of the terms and conditions of this Agreement resulting from exercise of such ultimate authorityapplicable Law.
