UCTN Clause Samples

UCTN. UCTN represents and warrants to Turner: (i) that it is the own▇▇ ▇▇▇ operator of the Network and hereby grants to Turner the exclusive ▇▇▇▇▇ to provide programming to the Network as described herein; (ii) that it has the full power and authority to execute, deliver and perform under this Agreement and to consummate any and all transactions provided for herein; and (iii) that the execution, delivery and performance of this Agreement and the consummation of any and all transactions contemplated by this Agreement, and the fulfillment of and compliance with the terms and conditions of this Agreement do not and will not violate or conflict with, or constitute a material breach of or default under, any existing contracts or commitments to which UCTN is a party or by which it may be bound.
