Common use of Trustee’s Powers Clause in Contracts

Trustee’s Powers. In considering the interests of Noteholders while this Permanent Global Note is held on behalf of a clearing system, the Trustee may have regard to any information provided to it by such clearing system or its operator as to the identity (either individually or by category) of its accountholders with entitlements to this Permanent Global Note and may consider such interests as if such accountholders were the holders of the Notes represented by this Permanent Global Note.

Trustee’s Powers. In considering the interests of Noteholders while in circumstances where this Permanent Global Note is held on behalf of a clearing systemany one or more of Euroclear, Clearstream, Luxembourg and an Alternative Clearing System, the Trustee may may, to the extent it considers it appropriate to do so in the circumstances, (a) have regard to any such information provided as may have been made available to it by such or on behalf of the relevant clearing system or its operator as to the identity of its accountholders (either individually or by way of category) of its accountholders with entitlements to in respect of this Permanent Global Note and may (b) consider such interests as if on the basis that such accountholders were the holders holder of the Notes represented by this Permanent Global Note.

Trustee’s Powers. In considering the interests of Noteholders while this Permanent any Global Note is held on behalf of, or Registered Notes are registered in the name of any nominee for, a clearing system, the Trustee may have regard to any information provided to it by such clearing system or its operator as to the identity (either individually or by category) of its accountholders with entitlements to this Permanent such Global Note or Registered Notes and may consider such interests as if such accountholders were the holders of the Notes represented by this Permanent such Global NoteNote or Global Certificate.
