Common use of Trustee Protected Clause in Contracts

Trustee Protected. The Trustee shall sign any amendment, supplemental indenture or waiver authorized pursuant to this Article 9; provided, however, that the Trustee need not sign any amendment, supplement or waiver authorized pursuant to this Article 9 that adversely affects the Trustee’s rights, duties, liabilities or immunities. The Trustee shall receive and conclusively rely upon an Opinion of Counsel as to legal matters and an Officers’ Certificate as to factual matters that any supplemental indenture, amendment or waiver is permitted or authorized pursuant to this Indenture and constitutes the legal, valid and binding obligation of the Company enforceable in accordance with its terms (subject to customary exceptions).

The Trustee shall be entitled to receive and conclusively rely upon an Opinion of Counsel as to legal matters and an Officers’ Certificate as to factual matters that any supplemental indenture, amendment or waiver is permitted or authorized pursuant to this Indenture and constitutes that all conditions precedent to the legal, valid and binding obligation execution of the Company enforceable in accordance with its terms (subject to customary exceptions)such supplemental indenture have been fulfilled.

The In signing or refusing to sign such supplemental indenture, amendment or waiver the Trustee shall be entitled to receive indemnity satisfactory to it subject to Section 7.01 hereof and conclusively rely shall be fully protected in relying upon an Officer's Certificate and an Opinion of Counsel as to legal matters and an Officers’ Certificate as to factual matters stating that any such supplemental indenture, amendment or waiver is authorized or permitted or authorized pursuant to by this Indenture and constitutes the legal, valid and binding obligation of the Company enforceable in accordance with its terms (subject to customary exceptions)Article 9.
