Common use of Trustee Authorized to Join in Supplements; Reliance on Counsel Clause in Contracts

Trustee Authorized to Join in Supplements; Reliance on Counsel. The Trustee is authorized to join with the Issuer in the execution and delivery of any supplemental indenture permitted by this Article X and in so doing shall be fully protected by an opinion of counsel, who may be counsel for the Issuer or the Company, that such supplemental indenture is so permitted and has been duly authorized by the Issuer and that all things necessary to make it a valid and binding supplemental indenture have been done.

The Trustee is authorized to join with the Issuer in the execution and delivery of any supplemental indenture permitted by this Article X and XII and, in so doing doing, shall be fully protected by an opinion of counsel, who may be counsel for the Issuer or the Company, Independent Counsel that such supplemental indenture is so permitted by the terms hereof and has been duly authorized by the Issuer and that all things necessary to make it a valid and binding supplemental indenture have been done.
