Common use of Trustee as Securities Intermediary Clause in Contracts

Trustee as Securities Intermediary. (a) The Trustee or other Person holding the Series 2010-1 Collection Account, the Series 2010-1 Excess Collection Account, the Series 2010-1 Accrued Interest Account, the Series 2010-1 Reserve Account, the Series 2010-1 Cash Collateral Account or the Series 2010-1 Distribution Account (each a “Series 2010-1 Designated Account”) shall be the “securities intermediary” (as defined in Section 8-102 of the UCC in effect in the State of New York (the “New York UCC”) and a “bank” (as defined in Section 9-102 of the New York UCC), in such capacities, the “Securities Intermediary”). As of the date hereof, the Trustee shall be the Securities Intermediary. If the Securities Intermediary in respect of any Series 2010-1 Designated Account is not the Trustee, ZVF shall obtain the express agreement of such Person to the obligations of the Securities Intermediary set forth in this Section 3.11.

(a) The Trustee or other Person holding the Series 2010-1 2 Collection Account, the Series 2010-1 2 Excess Collection Account, the Series 2010-1 2 Accrued Interest Account, the Series 2010-1 2 Reserve Account, the Series 2010-1 2 Cash Collateral Account or the Series 2010-1 2 Distribution Account (each a “Series 2010-1 2 Designated Account”) shall be the “securities intermediary” (as defined in Section 8-102 of the UCC in effect in the State of New York (the “New York UCC”) and a “bank” (as defined in Section 9-102 of the New York UCC), in such capacities, the “Securities Intermediary”). As of the date hereof, the Trustee shall be the Securities Intermediary. If the Securities Intermediary in respect of any Series 2010-1 2 Designated Account is not the Trustee, ZVF HVF shall obtain the express agreement of such Person to the obligations of the Securities Intermediary set forth in this Section 3.119.10.

(a) The Trustee or other Person holding the Series 20102009-1 2 Collection Account, the Series 20102009-1 2 Excess Collection Account, the Series 20102009-1 2 Accrued Interest Account, the Series 2010-1 Class A Reserve Account, the Class B Reserve Account, the Series 20102009-1 2 Cash Collateral Account Accounts, or the Series 20102009-1 2 Distribution Account (each a “Series 20102009-1 2 Designated Account”) shall be the “securities intermediarySecurities Intermediary” (as defined in Section 8-102 of the UCC in effect in the State of New York (the “New York UCC”) and a “bank” (as defined in Section 9-102 of the New York UCC), in such capacities, the “Securities Intermediary”). As of the date hereof, the Trustee shall be the Securities Intermediary. If the Securities Intermediary in respect of any Series 20102009-1 2 Designated Account is not the Trustee, ZVF HVF shall obtain the express agreement of such Person to the obligations of the Securities Intermediary set forth in this Section 3.112.10.

As of the date hereof, the Trustee shall be the Securities Intermediary. If the Securities Intermediary in respect of any Series 20102013-1 Designated Account is not the Trustee, ZVF HVF shall obtain the express agreement of such Person to the obligations of the Securities Intermediary set forth in this Section 3.112.10.

As of the date hereof, the Trustee shall be the Securities Intermediary. If the Securities Intermediary in respect of any Series 20102009-1 Designated Account is not the Trustee, ZVF HVF shall obtain the express agreement of such Person to the obligations of the Securities Intermediary set forth in this Section 3.11.

As of the date hereof, the Trustee shall be the Securities Intermediary. If the Securities Intermediary in respect of any Series 20102011-1 Designated Account is not the Trustee, ZVF HVF shall obtain the express agreement of such Person to the obligations of the Securities Intermediary set forth in this Section 3.112.10.
