Trustee as Agent Clause Samples
The 'Trustee as Agent' clause defines the trustee's role as acting on behalf of the trust or its beneficiaries, rather than in a personal capacity. In practice, this means the trustee is authorized to enter into contracts, manage assets, and perform other duties strictly as a representative of the trust. This clause clarifies that the trustee's actions are legally binding for the trust, not for the trustee personally, thereby protecting the trustee from personal liability and ensuring that third parties understand the trustee's limited capacity.
Trustee as Agent. The Trustee, in making distributions as provided in this Agreement, shall act solely on behalf of and as agent for the Noteholders.
Trustee as Agent. The Bank or anyone acting on its behalf may at any time employ the Trustee in its corporate (and not its fiduciary) capacity, in addition to its duties provided hereunder, as agent to perform any act, keep any records or accounts, or make any computations required by the Bank or the Committee. Any such agency relationship shall be established by a separate agreement between the Bank and the Trustee and the existence of such arrangement shall not affect its responsibilities as Trustee under this Agreement.
Trustee as Agent. (a) Trustee has been appointed to act as Trustee hereunder by the Noteholders. Trustee shall be obligated, and shall have the right hereunder, to make demands, to give notices, to exercise or refrain from exercising any rights, and to take or refrain from taking any action, solely in accordance with this Guaranty and the Indenture.
(b) Trustee shall at all times be the same Person that is Trustee under the Indenture. Written notice of resignation by Trustee pursuant to Section 8.10 of the Indenture shall also constitute notice of resignation as Trustee under this Guaranty; removal of Trustee pursuant to Section 8.10 of the Indenture shall also constitute removal as Trustee under this Guaranty; and appointment of a successor Trustee pursuant to Section 8.10 of the Indenture shall also constitute appointment of a successor Trustee under this Guaranty. Upon the acceptance of any appointment as Trustee under Section 8.10 of the Indenture by a successor Trustee, that successor Trustee shall thereupon succeed to and become vested with all the rights, powers, privileges and duties of the retiring or removed Trustee under this Guaranty, and the retiring or removed Trustee under this Guaranty shall promptly (i) transfer to such successor Trustee all sums held hereunder, together with all records and other documents necessary or appropriate in connection with the performance of the duties of the successor Trustee under this Guaranty, and (ii) take such other actions as may be necessary or appropriate in connection with the assignment to such successor Trustee of the rights created hereunder, whereupon such retiring or removed Trustee shall be discharged from its duties and obligations under this Guaranty. After any retiring or removed Trustee's resignation or removal hereunder as Trustee, the provisions of this Guaranty shall inure to its benefit as to any actions taken or omitted to be taken by it under this Guaranty while it was Trustee hereunder.
Trustee as Agent. Trustees serving in any jurisdiction in which a corporate trustee is unable to serve as Trustee may use such corporate trustee as an agent to perform any task that may lawfully be performed by such an agent in that jurisdiction, and may pay to such corporate trustee such compensation for its services as an agent as shall be agreed upon by all Trustees.
Trustee as Agent. References to the Trustee in this Indenture, including Article 7 shall include the Trustee in its role as Registrar, Paying Agent and Transfer Agent.
Trustee as Agent. The Trustee is hereby appointed the agent of the Company for the payment, registration, transfer and exchange of Notes. Subject to the provisions of Section 2.5 and Section 7.1, Notes may be presented for payment at, and notices or demands with respect to the Notes or this Indenture may be served or made at, the principal office of the Trustee, provided that copies of all such notices or demands shall be delivered to the Company.
Trustee as Agent. The parties hereto acknowledge that the Pledgee may designate the Trustee, or any successor trustee under the Indenture, its agent for the purpose of holding the Bank Bonds on behalf of the Pledgee and with such authority for taking actions with respect to the Bank Bonds as may be directed by, and on behalf of, the Pledgee.
Trustee as Agent. References to the Trustee in Sections 7.01, 7.02, 7.03, 7.04, 7.07 and 7.08 and the first paragraph of Section 7.09 shall include the Trustee in its role as an Agent.
Trustee as Agent.
