To the best of Buyer’s knowledge, neither this Agreement nor any other document or information to be furnished to Seller by Buyer pursuant hereto will contain any untrue statement of a material fact or omit to state a material fact necessary to make the factual statements contained herein or therein, in light of the circumstances under which they were made, not misleading.
