True and Correct Statement. As a condition to the signing of this Agreement, all parties are relying on the truth, completeness, and correctness of the statements and representations made herein, including the Recitals, and the parties hereto represent that this Agreement contains no material misrepresentations or omissions by any party to this Agreement. The Loan Parties have verified all legal descriptions referred to herein and in the exhibits attached hereto and acknowledge and covenant that such legal descriptions are correct and accurately describe the Collateral.
