Trigger amount. Subject to the Share Subscription Agreement, in respect of any single claim (or a series of claims based on or arising out of the same fact or circumstance), if the aggregate amount of the Indemnifiable Losses does not exceed US$ 10 million, the Indemnifying Party will not be required to make any indemnification; however, if the aggregate amount of the Indemnifiable Losses exceeds US$ 10 million in respect of any single claim (or a series of claims based on or arising out of the same fact or circumstance), the Indemnifying Party shall be required to pay the Indemnifiable Losses from the first dollar (including the US$ 10 million deductibles under the preceding sentence), subject to the US$1,000 million cap.
Trigger amount. Notwithstanding the provisions of Section 11.1 or 11.2 above, the Indemnified Parties shall not be entitled to indemnification pursuant to this Article XI with respect to any Losses pursuant to Section 11.1 or 11.2 until the aggregate amount of such Losses exceeds Seventy-Five Thousand Dollars (US$75,000) (the “Trigger Amount”), whereupon the Indemnified Parties shall be entitled to indemnification for all Losses in excess of the Trigger Amount.
Trigger amount. No Indemnifying Party shall be liable to any Indemnified Party for indemnification of any Losses under this Article 9 until the aggregate amount of all indemnifiable Losses of such Indemnified Party exceeds One Hundred Twenty-Five Thousand Dollars ($125,000) (the "TRIGGER AMOUNT"); in which event the Indemnifying Party's indemnification obligation shall apply to the aggregate amount of all claims with respect to which the Indemnified Party is entitled to indemnification hereunder (including any claims which individually or in the aggregate did not reach the Trigger Amount); PROVIDED, HOWEVER, that such Trigger Amount shall not apply in the case of any Claim for Losses attributable to (i) Taxes, (ii) any Payment Program Claim or (iii) any Claim for the Excess Settlement Amount.
Trigger amount. Sellers shall not be liable to Buyer for indemnification of any Losses under this Article 10 until the aggregate amount of all Losses of to be indemnified by Sellers exceeds Three Hundred Thousand Dollars ($300,000) (the "Trigger Amount"); in which event Sellers' indemnification obligation shall apply to the aggregate amount of all claims with respect to which Buyer is entitled to indemnification hereunder in excess of the Trigger Amount; provided, however, that such Trigger Amount shall not apply in the case of any Claim for Losses attributable to (i) Taxes, (ii) any breach of, or misrepresentation contained in, the representations and warranties in each of Sections 2.3, 2.8, 3.4, 3.28 and 3.33 and (iii) the matters covered by each of Section 10.2(b)(iv).
