Treatment of Sale. It is the express and specific intent of the parties hereto that the sale of the loans from the Seller to the Purchaser as provided in Section 2.02 (the “Purchase”) is and shall be construed for all purposes as a true and absolute sale of such loans, shall be absolute and irrevocable and provide the Purchaser with the full benefits of ownership of the loans.
