Transmittals. Every document, letter, progress report, change order, and any other written transmissions exchanged between the Contractor and employer shall be assigned a unique transmittal number. The Contractor shall maintain a correspondence index and assign transmittal numbers consecutively for all Contractor documents. Employer will maintain a similar correspondence numbering scheme identifying documents and correspondence that employer initiates.
Transmittals. As soon as reasonably practicable after the Effective Time, the Parent will instruct the Paying Agent to mail to each record holder of a Certificate (i) a letter of transmittal (which will specify that delivery will be effected, and risk of loss and title to such Certificates will pass, only upon delivery of the Certificate to the Paying Agent and will be in such form and have such other provisions as the Parent will reasonably specify) and (ii) instructions for use in effecting the surrender of Certificates for the Merger Consideration. Upon the surrender to the Paying Agent of such Certificates together with a duly executed and completed letter of transmittal and all other documents and other materials required by the Paying Agent to be delivered in connection therewith, the holder will be entitled to receive the Merger Consideration into which the Certificates so surrendered have been converted in accordance with the provisions of this Agreement. Until so surrendered, each outstanding Certificate will be deemed from and after the Effective Time, for all corporate purposes, to evidence the right to receive the Merger Consideration into which the Razorfish Shares represented by such Certificate have been converted in accordance with the provisions of this Agreement.
Transmittals. As soon as practicable after the Effective Time, the Principals and the Surviving Corporation shall mail to each holder of record of a certificate or certificates (collectively, the "Certificates") whose shares were converted pursuant to SECTION 2.1, and to holders of record of Option Agreements, into the right to receive the Consideration or Net Consideration (i) a letter of transmittal (which shall be in such form and have such provisions as the Principals and Surviving Corporation may reasonably specify) and (ii) instructions for use in effecting the surrender of the Certificates or Option Agreements in exchange for the Consideration or Net Consideration.

Transmittals. 2.11.1 Project Co shall accompany all formal issuing of data and information to TfL pursuant to this Agreement with an electronic transmittal in the form of a notification, which Project Co shall generate within TfL's CDE. Annex 2 of Part 5 – Information Security

Customer must deliver a transmittal to the BND ACH Desk upon completion of File Delivery via an e-mail to xxxxxxxxxxxxx@xx.xxx, fax to (000) 000-0000, or other method agreed to by Customer and BND from an authorized person listed in Schedule D. Transmittals. At or before Closing, Assignor will send to Assignee electronic copies of Prosecution History Files for each Transferred Patent (including pending applications). And within sixty (60) calendar days following the Closing Date, Assignor will deliver to Assignee, or its legal counsel, the items, to the extent they exist and are reasonably available to Assignor identified on Exhibit D (the “Deliverables”).

Not later than 10 days prior to the Closing, SBI will mail to each record holder of a SBI Stock Certificate and each holder of an SBI Option that is an In the Money Option a letter of transmittal in a form mutually agreeable to the parties, including instructions for use in effecting the surrender of SBI Stock Certificate or SBI Option Agreement, as applicable, for the aggregate Per Share Merger Consideration or the aggregate Option Spread Payment, as applicable, to which such holder is entitled. Upon the surrender to the Paying Agent of a SBI Stock Certificate (or original copy of the SBI Option Agreement in the case of holder of In The Money Options) together with a duly executed and completed letter of transmittal and all other documents and other materials required by the Paying Agent to be delivered in connection therewith, following the Effective Time, the holder will be entitled to receive the aggregate Per Share Merger Consideration or the aggregate Option Spread Payment, as applicable, into which the SBI Stock Certificate (or SBI Option Agreement) so surrendered has been converted in accordance with the provisions of this Agreement. Until so surrendered, each outstanding SBI Stock Certificate and each outstanding SBI Option will be deemed from and after the Effective Time, for all corporate purposes, to evidence the right to receive the aggregate Per Share Merger Consideration or the aggregate Option Spread Payment, as applicable, into which SBI Shares represented by such SBI Stock Certificate or SBI Option Agreement have been converted in accordance with the provisions of this Agreement.
