Transitional Agreement. Prior to the Closing Date, Seller and Purchaser each agree to negotiate in good faith the terms of, and to enter into, the Transitional Agreement substantially in the form attached hereto as Exhibit F, with such modifications as may be mutually agreeable to Seller and Purchaser.
