Common use of TRANSFERABILITY/ASSIGNMENT Clause in Contracts

TRANSFERABILITY/ASSIGNMENT. The Guarantor may not assign or transfer the whole or part of its obligations hereunder without the prior written consent of the Agent acting on the instructions of all Lenders. If a new agent is appointed in accordance with Clause 27.11 of the Facility Agreement (Resignation of the Agent), the resigning agent may without the Guarantor's consent assign all or any part of its rights hereunder. In any other case, the Agent may not assign its rights hereunder except with the prior written consent of the Guarantor.
