Common use of Transfer to the Agent Clause in Contracts

Transfer to the Agent. The Transferor has transferred exclusive ownership and dominion over the Account, including with respect to all monies, checks, instruments, collections, remittances and other payment items received in the Account (the “Payment Items”), to the Agent and, effective as of the Effective Time (as defined below), will transfer exclusive control of the Account to the Agent.

Transfer to the Agent. The Transferor has transferred hereby transfers exclusive ownership ownership, dominion and dominion control over the Account, including with respect to all monies, checks, instruments, collections, remittances and other payment items received in the Account (the “Payment Items”), to the Agent and, effective as of Agent; provided that at all times prior to the Effective Time (as defined below), will transfer exclusive control you may continue to honor instructions and directions issued by the Transferor in respect of the Account handling and disposition of Payment Items and amounts from time to time on deposit in the AgentAccount.
