All transfer taxes and necessary costs with respect to the transfer of the Securities either by Lender to Borrower or by Borrower to Lender, shall be paid by Borrower, if Lender shall incur any loss by reason of Borrower’s failure to pay all said taxes and costs as may be due, Lender shall be entitled to receive the same from Borrower and may retain an amount of the Collateral sufficient to satisfy its claim against Borrower in respect to said taxes and costs.
