Transfer of Purchase Shares. Subject to the terms of this Agreement, the Seller shall sell and transfer the Purchase Shares (along with all rights attached to the Purchase Shares) to the Purchaser and the Purchaser shall purchase the Purchase Shares from the Seller, free and clear of all Encumbrances on the Closing Date, in the manner provided in this Agreement. The Seller hereby acknowledges and agrees that the Purchaser is entering into this Agreement in reliance of the Seller Warranties and the Company Warranties, undertakings, covenants and obligations of the Seller and the Company, respectively as contained in this Agreement.
