Common use of Transfer of Global Notes Clause in Contracts

Transfer of Global Notes. Notwithstanding any other provision of this Indenture or the Notes, a Global Note may not be transferred, in whole or in part, to any Person other than the Depositary or a nominee thereof, and no such transfer to any such other Person may be registered; PROVIDED, HOWEVER, that this clause (c) shall not prohibit any transfer of a Note that is issued in exchange for a Global Note but is not itself a Global Note. No transfer of a Note to any Person shall be effective under this Indenture or the Notes unless and until such Note has been registered in the name of such Person.
