Common use of Transfer of Acquired Assets Clause in Contracts

Transfer of Acquired Assets. Sellers hereby sell, convey, transfer and assign to Buyer, its successors and assigns all of Sellers’ right, title and interest in, to and under the Acquired Assets, to have and to hold forever, together with all rights and privileges thereto.

Transfer of Acquired Assets. Upon the terms and conditions of the Asset Purchase Agreement, Sellers do hereby sellassign, transfer, convey, transfer grant, sell, bargain, set over, alien, remise, release, deliver and assign to Buyerconfirm unto Purchaser, its successors and assigns Purchaser hereby accepts from Sellers, all of the Sellers’ rightassets, title properties, rights, titles and interest in, interests in and to and under the Acquired Assets, to have and to hold forever, together Assets in accordance with all rights and privileges theretothe terms of the Agreement.

Sellers Subject to the terms and conditions of the Agreement, Seller hereby sellsells, conveyconveys, transfer assigns, transfers and assign delivers to BuyerPurchaser, and its successors and assigns assigns, forever, all of Sellers’ Seller’s legal, beneficial, and other right, title and interest in, as of the date of Closing in and to and under the Acquired Assets, to have and to hold forever, together with all rights and privileges thereto.which are more fully described in Exhibit A.

Transfer of Acquired Assets. Effective from and after the Closing Date, the Sellers hereby sell, convey, transfer transfer, assign and assign to Buyer, deliver unto the Sub and its successors and assigns assigns, forever, all of the Sellers’ ' right, title and interest in, to and under the Acquired Assets, subject to have and to hold forever, together with all rights and privileges theretothe Assumed Liabilities.
