Transfer Defaults. Notwithstanding the foregoing, any Transfer or any Transfer of Control in violation of the provisions of Article 2 shall be a Material Default under this Agreement without notice or cure period and shall not be subject to extension for Force Majeure Delay; provided, however, that with respect to involuntary liens recorded against the Parcel as described in Sections 8.6.3 or 8.10 (and that are not Transfers or Transfers of Control prohibited by this Agreement), the Defaulting Party shall be in Material Default if it shall have failed within 90 days of the date of recordation thereof to either remove or to bond such lien as required by Sections 8.6.3 or 8.10, as applicable.
