Transfer and Exchange of Certificated Notes for Beneficial Interests. (i) If any Holder of a Restricted Certificated Note proposes to exchange such Note for a beneficial interest in a Restricted Global Note or to transfer such Certificated Notes to a Person who takes delivery thereof in the form of a beneficial interest in a Restricted Global Note, then, upon receipt by the Registrar of the following documentation:

(i) If any Holder of a Restricted Certificated Note proposes to (a) exchange such Note for a beneficial interest in a Restricted Global Note or to Note, (b) transfer such Certificated Notes Note to a Person who takes delivery thereof in the form of a beneficial interest in a Restricted Global Note, (c) transfer such Note to the Company, or (d) transfer such Note pursuant to an effective registration statement under the Securities Act, then, upon receipt by the Registrar of the following documentation:
